Licensing

This Licensing Agreement (“Agreement”) governs the use of digital video content, including but not limited to aerial footage, drone cinematography, and related visual assets (collectively, the “Footage”), made available by SkyHighFrames (“Licensor,” “we,” “us,” or “our”) to the purchaser or authorized user (“Licensee,” “you,” or “your”).

By purchasing, downloading, accessing, or using any Footage provided by SkyHighFrames, the Licensee acknowledges and agrees to be bound by the terms and conditions set forth in this Agreement.

1. Grant of License

Subject to full payment of all applicable license fees and continued compliance with this Agreement, SkyHighFrames grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free, and perpetual license to use the Footage strictly in accordance with the rights granted under the specific license tier purchased.

For the avoidance of doubt:

  • Non-exclusive means SkyHighFrames may license the same Footage to other customers.
  • Royalty-free means no recurring usage fees are payable after the initial license purchase, provided the use remains within the licensed scope.
  • Perpetual means the licensed use may continue indefinitely once validly acquired, unless terminated pursuant to this Agreement.

No ownership, title, or copyright interest in the Footage is transferred to the Licensee. All rights not expressly granted herein are reserved by SkyHighFrames.

2. Intellectual Property Ownership

All Footage, including all copyrights, neighboring rights, moral rights where applicable, metadata, and any other intellectual property rights embodied therein, shall remain the sole and exclusive property of SkyHighFrames and/or its respective rights holders.

The Licensee acquires only a right of use under the applicable license and shall not claim ownership, authorship, exclusivity, or any proprietary interest in the Footage.

3. License Types

3.1 Standard License

Intended for: individual creators, students, hobbyists, vloggers, and personal portfolio use.

Under the Standard License, the Licensee may incorporate the Footage into one (1) single end product intended for personal, educational, editorial-style, or organic digital publication purposes, including monetized creator content where no paid media placement is involved.

Permitted Uses

The Standard License includes, without limitation:

  • YouTube videos, including videos published on monetized channels
  • Organic social media posts on platforms such as Instagram, TikTok, Facebook, and similar services
  • Student and academic projects
  • Personal websites, showreels, and portfolios
  • Non-paid content distribution where the Footage is embedded into a completed end product

Restrictions

Unless otherwise expressly authorized in writing, the Standard License does not permit:

  • Paid advertising or sponsored media campaigns
  • Commercial promotion of a brand, product, or service through paid channels
  • Television, cinema, theatrical, or broadcast use
  • Streaming platform distribution
  • Use in more than one end product
  • Use by agencies or businesses for client campaigns

The Standard License is limited to a single end product and may not be reused across multiple commercial executions.

3.2 Commercial License

Intended for: businesses, freelancers, agencies, marketing teams, and commercial brand communications.

Under the Commercial License, the Licensee may use the Footage in connection with the promotion, advertising, or communication of a business, brand, service, or product through digital and corporate channels.

Permitted Uses

The Commercial License includes all rights granted under the Standard License, and additionally permits use in:

  • Company and corporate websites
  • Landing pages and branded digital content
  • Business presentations and promotional materials
  • Client work produced by freelancers or agencies
  • Paid digital advertising campaigns, including but not limited to:
    • Social media advertising
    • YouTube advertising
    • Google Ads
    • Online display and digital campaign placements

Restrictions

Unless separately licensed in writing, the Commercial License does not permit:

  • Television broadcast
  • Cinema or theatrical exhibition
  • OTT, SVOD, AVOD, or other streaming platform distribution
  • Use in large-scale broadcast media campaigns
  • Multi-client reuse
  • Use across multiple separate end products for unrelated campaigns or clients

Unless otherwise agreed in writing, the Commercial License covers one (1) end product, campaign, or client production.

3.3 Extended License

Intended for: broadcasters, production companies, media organizations, enterprise clients, and high-visibility distribution environments.

Under the Extended License, the Licensee is granted the broadest standard scope of usage rights available under this Agreement. This license is intended for projects involving mass distribution, premium media placement, or multi-format public exhibition.

Permitted Uses

The Extended License includes all rights granted under the Commercial License, and additionally permits use in:

  • Television broadcast, including local, regional, national, and international channels
  • Cinema and theatrical exhibition
  • Streaming and OTT platforms, including subscription or ad-supported distribution services
  • Digital Out-of-Home (DOOH), public digital signage, and digital billboards
  • High-scale branded campaigns with unrestricted audience reach

Multi-Project Use

The Extended License permits the licensed Footage to be incorporated into multiple projects for the same end client, provided that:

  • such projects remain within the same general commercial relationship,
  • the Footage is not redistributed as a standalone asset,
  • and no sublicensing, resale, or transfer of rights occurs.

Any use for multiple unrelated clients, third-party resale, stock redistribution, or white-label licensing is expressly prohibited unless separately authorized in writing by SkyHighFrames.

4. General Restrictions

Regardless of the license tier purchased, the Licensee shall not, directly or indirectly:

  1. resell, sublicense, assign, share, gift, transfer, or redistribute the Footage as a standalone file;
  2. upload the Footage to any stock marketplace, asset library, template marketplace, archive, or shared media repository;
  3. make the Footage available for download, extraction, or reuse by any third party;
  4. use the Footage in a manner that suggests exclusive ownership or exclusive rights;
  5. incorporate the Footage into trademarks, service marks, logos, or other brand identifiers;
  6. use the Footage in unlawful, defamatory, fraudulent, misleading, obscene, or otherwise objectionable content;
  7. use the Footage in a manner that infringes upon the rights of any third party;
  8. attempt to claim authorship, register, or otherwise protect the Footage as the Licensee’s own intellectual property.

5. End Product Requirement

All licensed use must be in connection with an end product, meaning a finished work in which the Footage is incorporated as part of a broader creative, editorial, promotional, or commercial output.

The Footage may not be exploited as a standalone asset, even if modified, color graded, cropped, edited, overlaid, or otherwise transformed.

6. No Transfer or Sublicensing

Unless expressly approved in writing by SkyHighFrames, the license granted under this Agreement is personal to the Licensee and may not be transferred, assigned, or sublicensed to any other individual, company, affiliate, client, production house, or legal entity.

Where a Licensee is an agency, freelancer, or production provider purchasing the Footage on behalf of a client, the license must correspond to the actual end use and intended final beneficiary of the project.

7. Copyright Compliance and Credit

The Licensee is solely responsible for ensuring that its use of the Footage remains fully compliant with this Agreement and with all applicable laws, platform rules, advertising standards, and industry regulations.

Unless specifically required by SkyHighFrames in writing, attribution is not mandatory. However, the absence of a credit requirement does not reduce or waive any copyright protection or ownership rights retained by SkyHighFrames.

8. Unauthorized Use

Any use of the Footage outside the scope of the purchased license shall constitute an unauthorized use and may result in:

  • immediate termination of the license,
  • revocation of the right to use the Footage,
  • additional licensing fees,
  • legal action for copyright infringement,
  • and any other remedies available under applicable law.

SkyHighFrames reserves the right to pursue damages, injunctive relief, and any other appropriate legal or equitable remedies in the event of misuse or infringement.

9. Termination

This Agreement and the license granted hereunder shall automatically terminate without notice if the Licensee breaches any provision of this Agreement.

Upon termination, the Licensee must immediately cease all use of the Footage and, upon request, delete or destroy all copies in its possession or control, except to the extent embedded in lawfully distributed end products created prior to termination and expressly approved by SkyHighFrames in writing.

Termination shall be without prejudice to any rights or remedies accrued prior to the date of termination.

10. Custom Licensing

If the intended use of the Footage is not expressly covered by the Standard, Commercial, or Extended License, the Licensee must obtain prior written approval from SkyHighFrames.

This includes, without limitation:

  • exclusive licensing requests,
  • high-volume enterprise distribution,
  • resale or redistribution arrangements,
  • broadcast syndication,
  • template-based products,
  • or any use involving unusual or expanded exploitation rights.

Custom licensing terms may be offered at SkyHighFrames’ sole discretion.

11. Disclaimer

The Footage is provided on an “as is” and “as available” basis. While SkyHighFrames makes reasonable efforts to ensure the quality and lawful availability of its content, SkyHighFrames makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such warranties cannot be excluded under applicable law.

The Licensee assumes full responsibility for verifying that the selected license is appropriate for the intended use.

12. Limitation of Liability

To the maximum extent permitted by law, SkyHighFrames shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of the Footage or this Agreement, including but not limited to loss of revenue, business interruption, reputational harm, or third-party claims.

In any event, SkyHighFrames’ total aggregate liability under this Agreement shall not exceed the amount actually paid by the Licensee for the specific Footage giving rise to the claim.

13. Governing Principles

This Agreement shall be interpreted in accordance with applicable copyright, contract, and commercial law principles. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by SkyHighFrames to enforce any provision of this Agreement shall not constitute a waiver of any rights.
